1. Acceptance of Terms

By purchasing, accessing, or using products and services from Ubo Technology LLC ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not purchase or use our products.

2. Product Description and Target Audience

Developer-Focused Products
Our products are open-source hardware development kits designed specifically for developers, engineers, makers, and technically skilled individuals. These products are NOT intended for general consumer use and require technical expertise to assemble, configure, and operate safely.
Technical Knowledge Requirement
By purchasing our products, you acknowledge and represent that you:

• Possess the necessary technical knowledge and skills to safely assemble electronic hardware

• Understand the risks associated with electronic assembly and operation

• Have experience working with development boards, APIs, and technical integrations

• Can troubleshoot technical issues independently or with community support

Kit Assembly Required
All products are sold as assembly kits requiring user assembly. Products are not sold as finished, ready-to-use devices.

3. Third-Party Service Integration

API Keys and External Services
Our products may support integration with third-party services through user-provided API keys. You are responsible for:

• Obtaining your own API keys from third-party service providers

• Agreeing to and complying with each third-party service's terms of service and privacy policies

• Any costs, fees, or charges associated with third-party services

• Data security and privacy when using third-party integrations

We do not control, endorse, or assume responsibility for third-party services or their terms.

4. Warranty and Limitation of Liability

Limited Warranty
We provide a one (1) year limited warranty from the date of purchase that covers:

• Manufacturing defects in materials and workmanship

• Components that are defective upon receipt

Warranty Exclusions
This warranty DOES NOT cover:

• Damage occurring during user assembly or disassembly

• Damage from improper installation, use, or handling

• Damage from modifications, alterations, or unauthorized repairs

• Damage from normal wear and tear, accidents, or misuse

• Damage from power surges, environmental factors, or acts of nature

• Issues arising from user assembly errors or techniques

• Compatibility issues with third-party services or software

• Consequential or incidental damages

Warranty Claims
To make a warranty claim, contact us within the warranty period with proof of purchase and detailed description of the defect. We will, at our discretion, repair, replace, or refund defective components.

5. Open Source Licensing

Hardware and Software Licensing
Our products include open-source hardware designs and software components subject to various open-source licenses. By using our products, you agree to comply with all applicable open-source license terms, which may include requirements for attribution, sharing modifications, or other obligations.
License Information
Specific license information for each component is provided with the product documentation and source code repositories.

6. User Responsibilities
Safe Assembly and Operation
You are responsible for:

• Following all assembly instructions and safety guidelines

• Using appropriate tools and safety equipment

• Ensuring proper electrical connections and component orientation

• Testing components before final assembly

• Operating the device within specified parameters

Compliance and Certifications

• Products may include FCC/CE certifications for unmodified configurations

• You are responsible for compliance with local regulations if you modify the hardware

Modifications and Customization
While we encourage hardware modifications and customization:

• All modifications are at your own risk and void the warranty

• You assume full responsibility for any modified devices

• Modified devices may not comply with regulatory certifications
   

7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
The Company's total liability for any claim arising from or related to these Terms or our products shall not exceed the amount you paid for the specific product giving rise to the claim.
WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages

• Loss of profits, data, use, or other intangible losses

• Damages resulting from assembly errors or user modifications

• Issues arising from third-party service integrations

• Damages from device malfunctions or failures

• Personal injury or property damage resulting from product use
   

8. Indemnification
You agree to indemnify, defend, and hold harmless the Company from any claims, damages, losses, or expenses (including attorney fees) arising from:

• Your assembly, modification, or use of our products

• Your violation of these Terms or applicable laws

• Your integration with or use of third-party services

• Any harm caused by devices you have assembled or modified
   

9. Orders and Payment
Order Acceptance
All orders are subject to acceptance by us. We reserve the right to refuse or cancel orders at our discretion.
Pricing and Payment

• Prices are subject to change without notice

• Payment is required before shipment

• We accept payment through our authorized payment processors

• Crowdfunding orders are subject to platform-specific terms

Shipping and Risk of Loss

• Risk of loss transfers to you upon shipment

• Shipping costs are non-refundable

• International customers are responsible for customs duties and taxes
   

10. Returns and Refunds
Return Policy

• Returns must be requested within 30 days of delivery

• Products must be in original, unassembled condition

• Customer pays return shipping costs

• Refunds exclude original shipping charges and payment processing fees

No Returns for Assembled Products
Once you begin assembly, products cannot be returned unless covered by warranty for manufacturing defects.

11. Support and Community
Support Limitations

• Support is provided on a best-effort basis

• We provide documentation, assembly guides, and community forums

• Individual technical support may be limited

• Community-based support is encouraged

Software Updates

• Firmware and software updates are provided as-is

• Updates may change functionality or require user action

• Beta features are provided without warranty
   

12. Privacy
Your privacy is governed by our Privacy Policy, incorporated by reference into these Terms.

13. Intellectual Property
Trademarks
Our trademarks and trade names are our property and may not be used without permission.
User Content
Any feedback, suggestions, or contributions you provide may be used by us without restriction or compensation.

14. Modifications to Terms
We may update these Terms at any time. Continued use of our products after changes constitutes acceptance of the new Terms. Material changes will be communicated through our website or email.

15. Dispute Resolution
Governing Law
These Terms are governed by California law, without regard to conflict of law principles.
Dispute Resolution Process

1. Informal Resolution: Contact us first to resolve disputes informally

2. Binding Arbitration: Unresolved disputes will be settled through binding arbitration in Oakland, California

3. Class Action Waiver: You waive the right to participate in class action lawsuits
    

16. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding our products and services.
